Hi all: The Executive Committee, at Minute 8 of its April, 2018 meeting,established a process and instructed an ad hoc drafting committee to prepare arevised Code of Conduct for consideration by the Executive Committee at itsFall meeting. The Minute reads as follows: The Committee next moved to a discussionof the Board’s direction from January 2018 to review the ARRL Policy on BoardGovernance and Conduct of Members of the Board of Directors and Vice Directors.Discussion focused on a redline draft of edits of the current policy providedby Mr. Imlay, and a template of a Code of Conduct from the National Council ofNon-profits brought to the Executive Committee by International AffairsVice-President Bellows in mid-April 2018. It was the consensus of the ExecutiveCommittee that a combination of these documents could be appropriate for use byARRL. However, the Executive Committee noted this would requireadditional time to properly prepare, review and circulate, and for theExecutive Committee to properly discuss and approve beyond that which isavailable pursuant to Minute 47 of the January Board meeting. It was thereforedecided that an ad hoc committee consisting of Mr. Norris, Mr. Bellows, Mr.Imlay and Mr. Raisbeck would draft a proposal, to be presented at the fall ExecutiveCommittee meeting and thereafter to the Board of Directors. The drafting group has worked diligently toward preparing therevised document since that time. There developed a disagreement within thedrafting group, however, as to how much, if any, of the current Code of Conductshould be included in the revised document. That lack of clarity has recentlyresulted in a plan to present two different documents to the ExecutiveCommittee for its consideration at its scheduled Fall meeting. One of those twodrafts is not yet complete and it is unlikely that it will be completed by thetime of the Board meeting. The drafting group collectively feels strongly thatboth draft documents should be submitted together to the Executive Committee forits discussion and guidance. The entire drafting group supported this approach. Just wanted to fill everyone in on this important task. I ask foreveryone's patience and understanding while the group continues their work. CEO Dave Sumner used to keep a running list of Board motions that required follow-up by staff in Newington or Officers or Board Committees. This was part of the then A&F Committee's goal of trying to improve upon accountability When Sumner started producing the list around 2010, it was several pages long and when he retired it was down to one page. During the three years since Dave retired the list has grown... I've been tracking motions (and added in Executive Committee motions) and have shared it with a few other Board members. Since we're ten days or so away from the next Board meeting, I thought it might be useful to circulate it to everyone on ODV. I've marked a number of items as complete and they will be taken off the list in the next version. There may be other Board motions that are complete that I'm not aware of. Input invited! While we try to keep things stable there are times when reports are added or subtracted from the list used for the Board agenda. For example, I have been notified this week there is no report from a committee as they have no tasking and have had no activity. That will necessitate some flexibility and renumbering of some reports. So please don't be "married" to a specific report having the same number as previous meetings. Please find attached the Advance Notification Announcement for the Second Meeting of the ARRL Board of Directors. The meeting will begin at 9:00 AM on Friday July 20, 2018 at the Hartford/Windsor Airport Marriott at 88 Day Hill Rd., Windsor, Connecticut. The official announcement will be sent to participants thirty days before the meeting. Also, please find attached the hotel accommodation form for the meeting. These need to be completed and returned to Carla Pereira, KC1HSX, at cpereira(a)arrl.org<mailto:cpereira@arrl.org> no later than close of business on Tuesday July 3, 2018.
