Barry A portion of your 7.12.18 Draft Report to the A&F Committee discusses an issue that, on its face, raises some concerns. Toward the end of the Draft Report, you make the following observations: *A final factor in this discussion is our existing contractual obligations with RFinder. We currently have two agreements with them:* ** *1.One for providing the content used in the /Repeater Director/y. This agreement is dated October 19, 2016 with an ending date of September 30, 2017. The agreement is renewable at the option of both parties on the same terms and conditions for subsequent editions of the /Repeater Directory/. We renewed it for the 2018 edition of the Repeater Directory.* ** *2.A licensing agreement covering the use of the ARRL trademarks by RFinder in marketing it’s repeater listing products. This agreement was signed on January 28, 2016 and is for a term of three years. It is renewable by agreement of both parties within 90 days prior to the expiration of the initial term. If not terminated, the agreement will renew automatically for an additional three-year term. Termination can only be made for cause and there is a mandatory 30 day “cure” period if for cause.* The yellow highlighted paragraph, as worded, appears to grant a perpetual license to RFinder to use the ARRL trademarks (/undefined as to which ones)/, unless "cause" can be shown. The above language from your Draft Report suggests that the ARRL has a/*one-year contract */for providing the content in the Directory, renewable at the option of the parties — meaning that RFinder may walk away from the arrangement. But, by the terms of Paragraph 2, it appears the ARRL has given RFInder a /*three-year automatically renewable contract */to use "the ARRL trademarks" — a three-year contract that can only be canceled for "cause." A reasonable interpretation of the two paragraphs is that RFinder has the option, and the right, to cancel its Repeater Directory obligations, but to keep using, without compensation, the ARRL trademarks. This, if accurate, would not be beneficial to the League. Of course, the actual language of the two agreements might allay any concerns. To assist in understanding the actual rights and obligations of RFinder and the League, would you be so kind as to provide the Directors and Vice-Directors, prior to the Meeting, a copy of both the RFinder Repeater Directory agreement and a copy, if separate, of the licensing agreement covering the use of the ARRL trademarks by RFinder? In addition, would you please provide the following information to the Directors and Vice-Directors: (1) who negotiated the terms of both agreements for RFinder and for the League; (2) who drafted each agreement; (3) whether either agreement was reviewed or approved by the Board prior to the execution of either agreement; (4) if neither agreement was reviewed or approved by the Board prior to the execution of either agreement, please advise as to who approved (a) the terms of the agreements and (b) the language of the respective contracts.
