[arrl-odv:31855] Request for meeting to appeal E&E determination

ODV, I would like to hereby request an appeal to the full Board of the attached determination from E&E, concerning a position as an advisor to ARDC, which I was approached by ARDC for. Ria N2RJ

Please review Ria’s email below (ODV:31855) and E&E’s determination of a potential conflict of interest (attached) should Ria take the position with ARDC. Comments, please. I suspect a lot of you may be working the CW WW 160 contest this weekend. There’s a lot of action on the band. 73, Rick – K5UR -----Original Message----- From: rjairam@gmail.com <rjairam@gmail.com> To: ODV <arrl-odv@arrl.org> Sent: Thu, Jan 28, 2021 9:36 pm Subject: [arrl-odv:31855] Request for meeting to appeal E&E determination ODV, I would like to hereby request an appeal to the full Board of the attached determination from E&E, concerning a position as an advisor to ARDC, which I was approached by ARDC for. Ria, While you are about it, are there any foreseeable decisions you would be asked to make on either board that would affect any actions, activities, financial transactions, etc., on the other Board? Are there any actions you could take on either Board that would, because of the dual positions, affect the financial condition of yourself or anyone close to you? Are you fully prepared to disclose if and when a conflict should occur and how you will isolate yourself from any decisions that need to be made? Art On 1/30/2021 1:20 PM, AC0W Bill wrote:

Hi Art, I'll have something comprehensive in a day or two with how I plan to handle any conflict of interest with ARRL, which could include recusal on both fronts. . Just so we are clear - this is not a Board position with ARDC. It is a member of their grants advisory committee. Their Board still has final approval. Art, I think you are leading in the right direction. Would it be possible for Ria to participate as both an ARRL BOD member as well as serve as an advisor to ARDC, based upon the ARRL E and E Committee providing a framework or set of guidelines for Ria to recuse herself from a topic or subject discussion that would present a conflict of interest to the ARRL. The ARRL would take priority over the ARDC activities. My thoughts on a potential solution. Dave, K2DP Dave Propper, K2DP ARRL Midwest Division Vice Director 314-225-5167

Dave, Good people are worried about an apparent or a real conflict of interest. I don't fully understand how the proposed position leads to that but I'd like to hear both sides. The ARRL Board has a responsibility to avoid situations that could lead to misunderstandings or actual conflict. So my suggestion is, let's see what Ria has to say and how that relates to the E&E's concern. Art Arthur I. Zygielbaum, K0AIZ ARRL Midwest Division Director On 1/30/2021 3:47 PM, David Propper wrote:

As food for thought from a guy that watches Judge Judy on occasion: This is stickier than it appears at first blush. Ria is not only an ARRL Director, she is also on the Board of the ARRL Foundation. In fact, she is specifically on the Scholarship Committee of the Foundation. The Foundation is in the business of supplying grants and scholarships to worthy applicants, and ARDC has generously donated funds to the ARRL Foundation, and hopefully will in the future. The "Guidebook for Directors of Nonprofit Corporations" discusses as an obligation of a Director the notion to treat a business opportunity as a "corporate opportunity". Ria potentially could end up suggesting that ARDC fund additional ARRL Foundation scholarships, ("opportunities"), which would benefit the ARRL Foundation, and ultimately, the ARRL. This would seem to be a conflict of interest on the ARDC side. Of course if her suggestions as an advisor eventually steer ARDC scholarship funding potentials away from the ARRL and towards other avenues, then there could be a conflict of interest on the ARRL side as a breach of "corporate opportunity". It seems to me this would be the primary conflict of interest. Ria would be an advisor only, not a Board member of ARDC, (as she has stated), and I assume there is no pecuniary interest either directly or indirectly. They aren't paying for her services, but then neither is the ARRL. Both are non-profits, so she has nothing to gain but even more work for herself. So, I believe she is clear on that side. I'd be curious to see what our learned Board lawyers have to say on this one, and perhaps even our CT corporate counsel. 73; Mike W7VO
