NOTICE OF SPECIAL MEETING OF THE ARRL BOARD To: ARRL Directors, Vice Directors, and Officers From: ARRL President, Rick Roderick ARRL Secretary, David A. Minster Secretary Minster has received 10 written requests from ARRL Directors to conduct a special board meeting, as soon as possible. (Directors Baker, Boehner, Kemmerer, Lippert, Luetzelschwab, McIntyre, Norris, Ritz, Ryan, Zygielbaum) Accordingly, President Roderick hereby calls said special board meeting in accordance with ARRL Article 4, ARRL By-Law 26, and Section 33-1098(b) of the CT Revised Nonstock Corporation Act. President Roderick has scheduled the meeting for Monday November 21st at 1:00pm Eastern Time. The meeting will be conducted via Zoom via a link to be sent before the meeting. Directors who cannot attend can be represented by their Vice Director in accordance with Article 7 of ARRL’s Articles of Association. ARRL CT Counsel will be present. The topics of the meeting are to discuss (i) the report and recommendations of the Ethics and Elections Committee concerning the conflict of interest arising from a book authored by Director Jairam that directly competes with at least one ARRL licensing publication, (ii) the financial and legal implications created by such actions upon ARRL; and (iii) the appropriate method of resolving such conflict of interest. It is important to note that the timing of this meeting is of the essence as there are legal actions ARRL is contemplating that require immediate attention by the board. John; I notified David via e-mail last night that I would rather we resolve this this post-haste. After several discussions with E&E Chair Director Zygielbaum, (post my discussions with you), there were sensible and legitimate legal reasons brought up that indicated to me that we need to get this resolved quickly, rather than waiting another two months to even discuss it. I remind you that Ria's book will soon, if not already, be on store shelves. In fact, two nights ago I did some research. Besides Amazon, the book is also listed for sale on Target.com and the Barnes and Noble bookseller website, among many other e-sellers. Last night I found there are even two copies of her book already available on e-Bay! The longer this goes on, the harder it will be to mitigate. That is, of course, if the Board ultimately decides to take action at all. That will have to be a decision we all make together as a Board, but only after we hear from both sides, and CT Counsel. IMHO, it is in neither parties best interest to delay discussion on this matter. It's not fair to leave Ria dangling over any possible relief or mitigation, and as a Director of ARRL speaking, certainly not in the best interest of ARRL. Just my two watts.... 73; Mike W7VO
