Director Stratton is correct that Board Committee of the Whole minutes have not been published in the past. Perhaps that is because all members of the Board ( Directors, Officers and when included by Directors vote, Vice Directors) are already aware of the Board CotW discussion and decision by virtue of having been present. Since the discussion is confidential, including the CotW discussion in public minutes would defeat the purpose of resolving into a CotW. The same rationale doesn’t appear to apply when the EC resolves into a Committee of the Whole. The EC is tasked with applying Board direction between Board Meetings. Neither the Articles nor ByLaws provide EC members with higher status or right to information the other members of the Board. All Board members need to have an equal right to information if they are to fulfill the duty to keep fully informed of League matters. While minutes of the EC Committee of the Whole discussion(s) may not be necessary, it seems to follow that Board members should receive s good faith summary of those discussions in order to be adequately informed. 73, Jay, K0QB Sent from my iPad
