Before I posted this email in response to Kay's email to Mike, I communicated with Kay to advise her privately of my belief that the posting of the notice of the called Special Meeting to the ODV reflector, instead of just the OD reflector, coupled with the email response to Mike, created an obligation to the ARRL and the Board Family for me to disclose the following. I have been involved with the matter to be considered by the Board in the Special Meeting almost from the very beginning at the specific request of an involved party. That request was directed to me in a capacity other than that of Vice Director. My role has been that of an advocate and representative for an involved party, not as a decision-maker and not as a Vice Director. In that capacity I have had multiple contacts with most, but not all, of the Directors, Dave Sumner, Chris Imlay, Kay Craigie and one officer regarding the matter to be addressed in the Special Meeting. Kay and I have spoken, prior to today, regarding the matter only once, but that conversation was limited to Kay's respectful statement she did not believe she should discuss the matter with me and my respectful disagreement with her decision. In addition, I was asked to serve on a Conference Committee at the request of Directors who were in attendance on a informal conference call meeting regarding this issue. The Conference Committee was charged with attempting to resolve competing proposals designed to encapsulate a decision of the Directors regarding the matter. I did not participate, nor was I invited to participate, in any of the informal telephone conference calls or OD reflector discussions of the Directors, Officers, Dave Sumner, Kay Craigie and Chris Imlay that occurred prior to the call for the Special Meeting. I have not been invited to participate, at this juncture, in the called Special Meeting in any capacity. With respect, I must advise that I am not at liberty, at the moment, to disclose or discuss the details of the subject of the called Special Meeting or any prior discussions or communications with any party regarding the matter. The posting of this email should not be interpreted to mean that I believe Kay's email to Mike concealed or was intended to conceal the foregoing --- I do not and have so communicated to Kay. Kay's email to Mike addressed a more limited issue - Vice Director participation in the called Special Meeting. However, the disclosure to the full ODV of the existence of this matter, I believe ethically requires disclosure of my participation, even though that participation was not in a capacity as Vice Director. Vice Directors are not participating in this meeting. For several weeks, Directors, volunteer Officers, Dave, and Chris have been working on a very sensitive and confidential issue. Directors chose to move the e-mail discussion off the OD/ODV reflectors, so Vice Directors and Staff Officers except for Dave have not been copied on the correspondence. I don't know whether Directors will decide this evening to deal with the matter on the record or in a Committee of the Whole. Either way, I hope they will agree to discuss the issue and its background with their Vice Directors once things have been brought to a close, but that will be for them to decide.
