A couple of thoughts. To the best of my knowledge acceptance of a donation does not require Board approval. As indicated in its name BoardSource is a resource of information. It would seem that having an additional resource for the Board would be something we should welcome, not something to be shunned. In any event individual acceptance of membership in BoardSource is voluntary. Not all Board members may have had the opportunities as Director Tiemstra for advancedr legal education as to governance of non-profits. I may have misread his email, butDirector Tiemstra appears to be concerned by a third party evaluation of the Board based upon self-selected participation by Board members. That is worth considering. Apparently participation in the survey is voluntary and limited to members. However, as an ARRL member, not as a Board member, I would wonder why the Board would be reluctant to receive comments from a third-party with experience with non-profit boards, based upon input from the members of the Board. Since, the Board will be free to accept or reject those comments there sems little harm in at least obtaining the perspective. Further, I don't recall the EC or Board approving acceptance of this membership. The failure to do so would seem to violate the resolution passed by the Board just this past January in Minute 39.

Hi Jim, Rod, ODV, At the January A&F committee meeting, Director Ryan (Chairman) stated that Walton Stinson W0CP, wanted to make a donation to ARRL so that ARRL could become a corporate member of BoardSource. I jumped at the opportunity because I know of BoardSource and have used their resources at the IEEE, and seen their material being used at other large associations. To quote from BoardSource "The nonprofit boards best equipped to lead their organizations are self-aware, function in constructive partnership with their chief executives, and are committed to continually improving their performance." Being self-aware and continually improving are things we should always strive for. I think that the ARRL Board can improve. We can become a more effective deliberative and generative body. Let me say that again -- deliberative and generative. That is the key benefit of a Board, the ability to bring everyone's experience to bear on issues facing the organization, and together create something. The sum is greater than the parts. I have attached a sample of paper from the BoardSource web site on Recommended Governance Practices. If you look at it, they have Essential Practices, Leading Practices, and Compliance Practices. It is informative, not dictatorial Some of these practices ARRL currently follows. Some we do not. But in the interest of continuous improvement, I think the Board should discuss them. We may chose to operate differently, but I believe it should be an informed decision based on documented best practices, and a honest look at ourselves. Here is a list of sample topics with educational material from their web site. There is a wealth of information that we can benefit from. I hope that you will consider this in the spirit in which is it offered. All: For those who may not be aware, Walt Stinson was ARRL Rocky Mountain Division director for ten years starting in the mid 90's. He was RM Director during my early years as Colorado SM and his tenure included a stint as A&F committee chair. He's a well-known contester in the division and has participated in DXpeditions as well as being an avid SOTA participant. He is the founder and owner of ListenUp!, a very successful high-end audio and home theater business founded in 1972 with locations in Colorado and New Mexico. He also sits on the board of another non-profit organization. His caring about the League is obvious and his generosity is evident in making this resource available to the officers, directors and vice-directors. Use it as you would any resource: it is a library, a bookstore, a blog and a support community. BoardSource was founded 30 years ago and its mission is to provide education and training and be a resource for the worldwide community of not-for-profit organizations of all types. Its mission is supported financially by corporations such as Adobe, IBM, JPMorgan Chase, Microsoft, BP, Capital One, Johnson and Johnson, Symantec and General Mills.
