Greetings - I was surprised to see the call of the Special Meeting meeting include electing a new Secretary. As I recall, when Mr. Gallagher left in January we elected Mr. Shelley as Secretary in a separate vote after electing him CEO. I think it may have caught Mr. Shelley off guard when that was added to the CEO job. None of the requests for a Special Meeting (I was copied on seven of them) asked for a vote on a new Secretary, they just requested a vote for a new CEO. We normally conduct separate elections for CEO and Secretary. I have to admit that I hadn't thought much about it when the call for the Special Meeting was received. But now that I've thought about it, I think it deserves some discussion. I don't think the rules for Special Meetings allow the Secretary to add additional items to the agenda. If we really want to elect both a new CEO and Secretary, then I think eight members of the Board have to request a vote on Secretary. That shouldn't be difficult to do in a day or two. Is the plan to offer a motion to elect Mr. Michel as CEO as of November 1, 2018? Then is the plan to offer a second motion to elect Mr. Michel as Secretary as of November 1, 2018? Is conveying both titles on him on day one a good idea? At least I think it is worth a discussion before the Special Meeting. If you recall, Mr. Gallagher quickly decided that he wanted Dan Henderson to be Assistant Secretary because of the corporate knowledge required, among other things. It might be useful to keep the existing Secretary in place until the new CEO gets settled and has a chance to review his surroundings, and then have him make a recommendation.
