On the resolution offered by the Executive Committee to the Board for a mail vote there were 12 votes in favor, two opposed, and one non-voting.

All Directors voted in favor except Directors Fallon and Norton, who voted opposed, and Director Fenstermaker, who did not vote. (Jim, if I overlooked your vote please let me know and I will correct the record.)
