
As food for thought from a guy that watches Judge Judy on occasion: This is stickier than it appears at first blush. Ria is not only an ARRL Director, she is also on the Board of the ARRL Foundation. In fact, she is specifically on the Scholarship Committee of the Foundation. The Foundation is in the business of supplying grants and scholarships to worthy applicants, and ARDC has generously donated funds to the ARRL Foundation, and hopefully will in the future. The "Guidebook for Directors of Nonprofit Corporations" discusses as an obligation of a Director the notion to treat a business opportunity as a "corporate opportunity". Ria potentially could end up suggesting that ARDC fund additional ARRL Foundation scholarships, ("opportunities"), which would benefit the ARRL Foundation, and ultimately, the ARRL. This would seem to be a conflict of interest on the ARDC side. Of course if her suggestions as an advisor eventually steer ARDC scholarship funding potentials away from the ARRL and towards other avenues, then there could be a conflict of interest on the ARRL side as a breach of "corporate opportunity". It seems to me this would be the primary conflict of interest. Ria would be an advisor only, not a Board member of ARDC, (as she has stated), and I assume there is no pecuniary interest either directly or indirectly. They aren't paying for her services, but then neither is the ARRL. Both are non-profits, so she has nothing to gain but even more work for herself. So, I believe she is clear on that side. I think you are leading in the right direction. Would it be possible for Ria to participate as both an ARRL BOD member as well as serve as an advisor to ARDC, based upon the ARRL E and E Committee providing a framework or set of guidelines for Ria to recuse herself from a topic or subject discussion that would present a conflict of interest to the ARRL. The ARRL would take priority over the ARDC activities.

While you are about it, are there any foreseeable decisions you would be asked to make on either board that would affect any actions, activities, financial transactions, etc., on the other Board? Are there any actions you could take on either Board that would, because of the dual positions, affect the financial condition of yourself or anyone close to you? Are you fully prepared to disclose if and when a conflict should occur and how you will isolate yourself from any decisions that need to be made?
