Hello All,

Back last summer toward the end of the Board Meeting I had promised the EC that I would send them a proposed update to the Articles and Bylaws.  Jim T. and I did so at the beginning of October, though I can't tell if the EC had time to review it.

In any case, Jim T. and I thought we would share this with the full Board, in order, perhaps, to spur some discussion.

Attached is a proposal for changes to the Articles and By-Laws.  Also attached is a cover letter with a discussion of the proposed changes.  They cover the Vice Director question, the basic idea being to simplify and clarify the VD status without actually changing the reality.  This formulation has the advantage of addressing several of the Day Pitney concerns.  I've attached a short description of the changes as well - I suggest you read the description first to understand the gist of the proposal.
