Regrettably, you misunderstood my second question. I did not request the identity of the "maker" of the motion that resulted in the approval of the adopted language. I requested the identity of the individual/firm that drafted the language adopted by the Board.

Dan forwarded your note to me. The legal counsel in CT that filed the Board authorized change to the Articles of Association was Edward Spinella of the firm of Murtha Cullina. The firm is mentioned at Minute 8 of the October 20, 2018, Executive Committee meeting as a firm we have begun using recently for projects and are being evaluated for a role as CT counsel for the organization. The maker of the motion at Minute 23 of the January meeting was Dr. Boehner, seconded by Mr. Williams. The same two individuals proposed and seconded the motion at Minute 6 of the April 21, 2018 Executive Committee which resulted in the recommendation to the Board meeting. 73,

At the October EC meeting, it was reported back that when filing the changes to the Articles approved at the July meeting, that Connecticut counsel was directed by the Secretary of the State of CT that the Articles were deficient and must be amended to include the following before they would accept the change:
Add the following: âThe Corporation is nonprofit and shall not have or issue shares of stock or make distributions.â
The EC approved the change and has forwarded it to the ARRL Board for action at its January 2019 Annual Meeting. The proposed motion is attached and is forwarded to you to comply with the 30-day notification in order to qualify for the 10-vote requirement instead of the 12 vote requirement.
