Many of their members are also active contesters as members of the Minnesota Wireless Association. The TCDXA's purpose and goal as a non-profit organization is the donation of funds to support major DXpeditions all over the world, both large and small (100% of their dues serve this purpose.) The 100+ attendees were very appreciative of the updates on the league and our goals. Tom also attended the Delaware State Convention (Delmarva Amateur Radio and Electronics EXPO) this past weekend where he was the keynote speaker. Everyone appreciated his candor in discussing the issues and challenges facing the ARRL. While there, Tom also presented awards to the 1st and 2nd place winners of the Capstone Project from Delaware Technical Community College. (Below are some photos of the Tom's presentation.) Some highpoints of the day's seminars were "Fusion Radio System" by Cory Sickles, WA3UVV, and "MESH Networking" by Paul Milazzo K3PGM. [2004-05-10 05] HQ had a visit from a group of CCSU electrical engineering undergrads last week, who were here for an SDR demonstration with Volunteer Examiner Dr. Martin Ewing, AA6E (photo at left.) We have also been responding to inquiries about the Teachers Institute. There were 25 applications were received by week's end. The application deadline is May 1. Field Services Reported by Dave Patton, NN1N Field Organization Section Manager election ballots for Northern New Jersey and Utah continue to arrive at ARRL Headquarters. The receipt deadline for these ballots is Friday, May 19, and they will be counted on Tuesday, May 23. Editorial work proceeds on the July QST article that will cover the 2016 Simulated Emergency Test results. W1AW Joe updated the code practice QST source web page. He worked on a second version of the 2m/70cm satellite antenna for the "100 second" video series. He continued testing with the Acom amplifier that was returned from repair. Joe also had a lengthy conversation with Steve Waterman, K4CJX, regarding W1AW's SHARES/MARS access to the Winlink2000 (WL2K) HF system. Scott worked on slow and fast code practice texts for the upcoming week. For the previous, week he processed 8 electronic VUCC applications, and processed 397 VUCC credits. [IMG_0720 (002)]On Friday, April 21, HQ was visited by four West Point cadets (including two licensees), West Point Electrical Engineering Professor (Matt, KF4WZB), Joe, N6CL (Director of Religious Education), and his wife Carol, W6CL. Dave Patton led them on a full tour with expanded information about ARRL and our programs and work. Several Department managers and assistants (thanks Bob Allison, Maria Somma, Joe Carcia) stepped-up with excellent explanations of the ongoing work in their respective areas of ARRL. Tom Gallagher joined everyone for lunch and led a wide-ranging back-and-forth with our guests that moved this already energized group on their way to license upgrades, and consideration of expanded work and assistance at the West Point club station, W2KGY. In the February 2017 issue of QST, Matthew Sherburne, KF4WZB reported on renovations underway at W2KGY, the West Point Amateur Radio Club. Media and Public Relations Reported by Sean Kutzko, KX9X Sean Kutzko coordinated an interview with Emergency Preparedness Manager Mike Corey, KI1U, and ARRL Colorado Section Manager Jack Ciaccia, WM0G, for Emergency Management magazine. The article highlights the desire to be involved with public service as a main reason for growth in Amateur Radio licenses. Kutzko also was interviewed by a high school reporter at Lyndon B Johnson High School in Round Rock, TX; the school newspaper was seeking comment on the school's student club station, K5LBJ, winning the Spring 2017 School Club Roundup. Kutzko and his team of video freelancers completed shooting and editing four new videos this month: Tom Gallagher's May "60-Second Century" editorial promo; The Yaesu FT891 Product Review, and two videos in the new series "ARRL Tech Tips." Tech Tips is a series of 100-second videos aimed at teaching one specific project or task, targeting newly-licensed or inexperienced hams. One teaches how to build a 2-meter ground plane out of coat hangers, and the other offers instruction on how to properly fill out a QSL card. These will be posted to the ARRL YouTube channel shortly. Kutzko also began working with QST Managing Editor Becky Schoenfeld to coordinate ARRL's media plan during Hamvention. This piece deals with the recent announcement of FirstNet's contract award to AT&T to construct a nation-wide digital network for the exclusive use of First Responders. FirstNet will provoke many questions in the coming months. I have raised several in the editorial. I wanted you and your section emergency staff to have an advanced copy. Since this is unpublished QST copyrighted material, I would be grateful if you do not share it until the digital edition is released May 10th. Jim, Certainly a web meeting has its limitations. The two webinars which have been scheduled are intended to allow people to ask questions, state their point of view, and in general exchange information on the topic. Undoubtedly not everyone will be able to participate, but this will hopefully be valuable to those that can. Though there are limitations to the webinar format, several of the committees of the Board use them successfully to communicate and advance their mission, even if they still find in-person meetings the most valuable. As noted in the announcement, the meeting is not intended to end in a vote. This, as you suggest, will occur at the July Board meeting. Since the BoD meeting is 2-1/2 months away, though, the Executive Committee felt there was a need for some communication and discussion long before that. The webinars provide another option for communication, and do not preclude any of the other means that are at our disposal. Despite some limitations, I hope these online meetings result in bringing all members of the Board family to a better understanding of each others' concerns. I don't think anyone expects them to produce anything conclusive. Despite the somewhat lackluster band conditions, they did manager to make a few QSOs on 20 and 17 meters. Joe updated the web code practice files and their archives. He was on hand Saturday for the NEQRP members. He also processed 5 Qualifying Run certificates and 3 endorsements. Joe also installed the Acom 2000A amplifier that was returned from repair. Bob Inderbitzen attended RARSfest 2017, sponsored by the Raleigh Amateur Radio Society on Saturday, April 15 -- and sanctioned as this year's ARRL Roanoke Division Convention. He supported the booth, membership forum, and gave a presentation. The convention was held indoors at the North Carolina State Fairgrounds, in Raleigh. Among the vendors and equipment manufacturers were Elecraft, FlexRadio Systems, KJI Electronics, Ham World, dBj Radio, and The SignMan of Baton Rouge, Quicksilver Radio, and The WireMan; a huge indoor flea market, and some outdoor tailgating. There were youth activities organized throughout the convention, including a youth operated special event station. Many volunteers from the ARRL Roanoke Division and Field Organization supported the convention, including North Carolina Section Manager Karl Bowman, W4CHX; Section Youth Coordinator for Scouting, Dave Price, K4KDP; DXCC Card Checker and Raleigh Area QSL Manager Bill McDowell, K4CIA; Berkeley County (SC) ARES Emergency Coordinator Linda Selleck, KJ4EVV; Roanoke Division Assistant Director Chuck Littlewood, K4HF; Vice Director Bill Morine, N2COP; and Director Jim Boehner, N2ZZ. This documents the time line and some deliberation details associated with the January 2017.adoption of the *ARRL Policy on Board Governance and Conduct of Members of the Board of Directors and Vice Directors*. It should simply be considered to be part of my notes on what transpired. As I personally strive for honesty, accuracy, and above-board communication with this board, I would appreciate any corrections to the reported happenings. *Code of Conduct Initiation * It appears that the Executive Committee, or some subset of the Committee, likely initiated work on the Code sometime in 2016. This was done without any notice to the rest of the board. No mention of a Code or anything related to it was contained in any agenda or minutes of any of the 2016 EC meetings. On January 8th, in his EC report to the board, President Roderick mentioned that he had asked Mr Bellows, Mr Imlay, and Mr Gallagher to work on a Code of Conduct. No details were given concerning what was to be covered or of any timing. On Thursday, January 19, at 14:04 EST, Mr Imlay posted the text of his proposed Code to the ODV reflector. It was noted by Mr Imlay, that the document had been reviewed by the EC, clearly showing that the subset of directors on the EC had considerable time to digest and comment on the contents. The timing was such that at the time of release, the 10 non-EC board members were in PSC or A&F meetings, which were then followed by a full schedule of Thursday evening board activities. Those who might not have checked E-mail might not have even been aware of the Code until the following day. The text of the Code was also released under the color of "attorney-client privileged communications and work-product ... not for disclosure," in what can only be interpreted as an attempt to prevent the other directors from seeking counsel on the subject from either other legal resources or members. Less than 24 hours after the draft text was released to the full board, action on the Code was initiated in a way that broke several long-standing precedents. First, International Affairs Vice President Bellows, who is neither a voting member of the Board nor a member of the Executive Committee, moved that the Code be adopted. This was then seconded by Mr Carlson. Second, The motion was made early in the meeting, during the EC report discussion period, not during the much later period assigned for such an EC motion as stated in the printed and board-approved meeting agenda. Whereas EC members obviously had considerable time to digest, consider, and debate the six-page Code, the other 10 board members were not even afforded the opportunity of having the issue brought during at the period defined in the meeting agenda. Mr Norton quickly distributed copies of a printed article by a California attorney warning that subscribing to codes of ethics requiring directors not to speak up and act only as a unanimous body would violate a director's fiduciary duty and invalidate the business judgement rule from liability for claims of breach of fiduciary duty. This was apparently deemed unimportant by most of the rest of the board. After a brief discussion, Mr Pace moved to call the question, seconded by Mr Lisenco. Recently, in Colorado, Mr Pace has said to me that he had not seen the Code's text prior to Mr Imlay's release on the previous afternoon, unlike Mr Lisenco, who was a member of the EC. This motion to call the question passed 10 to 5, with individual votes not being recorded. The motion then was passed on a roll-call vote requested by Mr Norris, 12 to 3, with Mr Abernethy, Mr Norton, and Dr Woolweaver voting no. *Publicity to Members* The League has been remarkably closed-mouthed about the code. The only mention to the membership has been mention of such a code in the meeting minutes, without any reference to the code itself. Although references to the Code's location on the ARRL web-site have been provided to the board, members can only find it by a search. The secrecy is evident from the fact that the Southwestern Division Vice Director candidates, running in the current election, have not been made aware of the contents of the Code nor even the existence of the Code itself. *Reaction to the Code* Reaction to the Code has been extremely negative. An editorial in March CQ concludes with, "... a policy that institutionalizes secret voting at board meetings and prohibits members' elected representatives from discussing board actions with them, does exactly what it claims to be trying to avoid: It brings the organization into disrepute." This comports with all the member reaction I've observed. I have not heard of a single positive member reaction to the Code. Negative reactions have included actions to stop donations. *Summary* A subset of the board and officers has used the Executive Committee to define League policy, conducting serious and important policy deliberations away from eyes and ears of the majority of the board. They kept their actions concealed from the majority, and only revealed even their intentions at the last minute. They then used the questionable claim of "attorney privilege" to prevent other directors from receiving counsel on the matter . By these actions, this subset of the board has impaired the full board from fulfilling its fiduciary duty. The actions have hurt both the League finances and reputation. Actions on topics as far-reaching as adoption of this Code cry out for extensive research and deliberation over time, not the sub rosa approach that was employed. If the sequence of events is as I have summarized, then we should all be concerned about repeating the same mistake of cutting member input out of the deliberative process with respect to the proposed vice-director-elimination plan that impacts the rights of those members. We need their input before any internal webinar in which tentative conclusions might be solicited or in which we might be given “talking points” 73, Dick Norton, N6AA
