FYI, came out on the FaceBook page about 10 minutes ago. Doug K4AC 06/17/2014 Matt Wilhelm, W1MSW, of Williamsburg, Massachusetts, will be the new ARRL Contest Branch Manager. He will start work at ARRL Headquarters on July 3. An active contester and a member of the Yankee Clipper Contest Club and the Hampden County Amateur Radio Association, Wilhelm has been licensed since 2009 and holds a General ticket. He became hooked on contesting after the first ARRL Rookie Roundup in April 2010. His expertise — and contest scores — have been rising ever since. “I cannot tell you how happy I am to be the next ARRL Contest Branch Manager,” Wilhelm said. “I’ll be working hard to provide the high-quality support that contest participants have come to expect from the Contest Branch.” A native of Dallas, Texas, Wilhelm has an IT background in help desk operations and network security systems management. All: Beginning on Thursday morning, June 19th, we will be upgrading the Mailman software package that is used to support the ARRL e-mail reflectors. We will be upgrading to version 2.1.18-1. While this should resolve the issues created by the major ISPs' adoption of the DMARC standard for the moment, each ISP seems to use their own policies for the adoption. AOL is the most stringent and you will likely see some differences in the way messages come through the reflector from those participants who use AOL e-mail for sending messages. The reflectors will be off line for several hours tomorrow morning and, as usual, e-mail will be queued up for delivery when the reflectors come back on line. 73, Barry J. To My Colleagues on the ODV, Good Evening. It is essential for any association to periodically review its by-laws and articles of incorporation so that the association is able to stay current. To date, a number of suggestions, resolutions, and comments have been made by members of the Board that deal with proposed changes to the way we do business. I am impressed with many of the suggestions and disagree with some others, which leads me to explain why I am writing to you this evening. Given the very short window of time until the July Board meeting I am concerned that we might rush into making decisions, without allowing ample time for planning. The amount of time needed to openly debate and properly deal with the issues will require a longer Board meeting than the two days in July. Acting hastily will have repercussions down the line as all by-laws act in concert with each other. “Fix” one without giving due consideration as to how it affects other by-laws may cause due harm later on, creating unnecessary problems (requiring another fix that was not for-seen at this time). I’d like to suggest that, rather than push through a few changes to the by-laws in July, we instead consider forming a By-Laws Committee to review and propose updated by-laws and, if necessary, articles of incorporation. I propose creating an elected committee of 5 Directors to undertake this task and report back to the full Board at the January 2015 meeting. I don’t know if this is acceptable to Doug and Dick. Their proposals differ on By-Law 45 and Cliff brings up many issues with their proposals. Debate over this one by-law alone could monopolize the entire meeting. There are other by-law changes that are being suggested as well that need to be heard. Let’s do it right the first time. Form a committee, give the issues the requisite consideration, rewrite as necessary, reach a consensus, and pass it in January. And so, what sayest thou, Bully Bottom?

The draft proposals which Doug and Dick have circulated appear to limit a finding of a pervasive and continuing conflict requiring disqualification only to Board members or candidates who may have ownership, investment, or employment interests in competing businesses. Both drafts deal with family member's interests as only potential conflicts and only address recusal remedies, not disqualification. I agree that generally, the difference between board members/candidates as compared to family members will likely justify the different treatment which Doug and Dick are proposing, particularly where a family member may only have an employment interest rather than a material ownership interest. But given some of the comments in our earlier discussions, I could foresee situations where the spouse or other close family member of a Board member or candidate might have such a significant ownership or other interest in a competing business as to support a determination that there is a pervasive and continuing conflict which cannot be handled by recusal, and which requires disqualification. I wonder if we should consider changing the By-Laws to provide that the Ethics and Election Committee (subject to review by the full Board as currently provided) shall have discretion to determine whether a family member's ownership, investment, or employment interest in a competing business is a potential conflict that can be handled by recusal or other less drastic remedies, or whether the family member's interest creates a pervasive and continuing conflict requiring disqualification. This would give E&E and the Board the option of more remedies to apply, including disqualification, depending on the facts and circumstances of the particular case. Bright line rules are often attractive, but can sometimes create difficulties in applying to particular cases , as we are painfully aware. Cliff K0CA
